PLEASE REVIEW THIS DOCUMENT CAREFULLY BECAUSE IT AFFECTS YOUR RIGHTS
This agreement ("AGREEMENT") and its terms and conditions constitute a legal and binding electronic contract between, CRWE Press Release, a service of Crown Equity Holdings Inc., having its principal location of business in Las Vegas, Nevada, USA and you the ("YOU"). By registering with CRWE Press Release you agree to be bound by this AGREEMENT whether or not you choose to become a paid or non-paid subscriber ("SUBSCRIBER"). If you object to anything in this AGREEMENT or the do not use CRWE Press Release service ("the SERVICE"). This AGREEMENT is subject to change by CRWE Press Release at any time, effective upon posting on this CRWEPressRelease.com website ("WEBSITE"), and your use of the SERVICE after such posting will constitute acceptance by you of such changes. This AGREEMENT includes CRWE Press Release's Terms of Service, CRWE Press Release's Editorial Guidelines, CRWE Press Release's Privacy Policy, CRWE Press Release's Security Policy and any notices regarding the SERVICE posted on the WEBSITE. By submitting, you accept this AGREEMENT and agree to the terms, conditions and notices contained or referenced herein.
Information & Content Submitted by You
You agree that you are solely responsible for all information and content that you submit to or through the Site.You represent and warrant that you will not submit information or content that contains any material that:
- is false, inaccurate, outdated or misleading;
- infringes CRWE Press Release's or any third party's copyright, moral, patent, trademark, trade secret or other proprietary rights, contract rights, or rights of publicity or privacy;
- is defamatory or libelous, including trade libel or product disparagement;
- is threatening, abusive or harassing;
- is vulgar, obscene, offensive, or pornographic, or contains links to any external Internet sites that are obscene or pornographic, or display pornographic or sexually explicit material of any kind;
- is unlawful, harmful or injurious to others; or
- is otherwise inappropriate to the substance of the discussion or other exchange of information.
You further represent and warrant that:
- you will only submit information and content that is either original and exclusively owned by you, or to which you have obtained all necessary third-party permissions and licenses;
- you will only submit information and content to or for which you have affixed copyright notices and attributed all third party content, as necessary; and
- you have the full and unrestricted power to submit all information and content submitted by you and to convey all rights conveyed in that information and content.
You agree not to submit information or content:
- in violation of a nondisclosure agreement or other obligation of confidentiality; or
- in violation of any law, ordinance, rule or regulation (including those governing export control, securities, unfair competition, insider trading, privacy, intellectual property and false advertising).
You agree that we may, in our sole discretion and without prior notice to you, edit, move, refuse or remove any such information or content, and take any other action permitted under these terms of understanding.
You acknowledge that CRWE Press Release has no responsibility or liability for the actions of other users of the Site, including actions another user may take or fail to take with respect to information or content that you submit to the Site. Please exercise appropriate caution when posting or communicating any information or content to the Site, or when using any information or content posted, communicated or otherwise submitted by another Site user to or through the Site.
1) Description of the Service
CRWE Press Release provides YOU with access to an online public relations tools, services and resources, including but not limited to, press release listings, press release distribution, online newsroom site hosting, public relations related social networking and messaging, company profile, group profile and YOUR company profile management. YOU also understand that the SERVICE may include certain communications from CRWE Press Release such as product announcements, product feedback requests, and special pricing offers and that these communications are considered part of the SERVICE. Unless explicitly stated otherwise, any new features that augment or enhance the SERVICE shall be subject to this AGREEMENT. You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). you must provide and are responsible for all equipment necessary to access the SERVICE.
2) Representations and Warranties
YOU agree that you are solely responsible for the accuracy and authenticity of the content submitted to the SERVICE. YOU represent and warrant to CRWE Press Release that a) you and/or your company are legally authorized to submit content to the SERVICE, b) the content submitted is factually and legally accurate, c) content submitted is not defamatory, libelous or otherwise illegal, d) content submitted is not confidential and may be distributed and e) content submitted does not violate state, federal or common law copyright, trademark and service marks or any other intellectual property rights of any party. NO WARRANTY IS MADE BY CRWE Press Release OR CROWN EQUITY HOLDINGS INC., REGARDING SERVICES PROVIDED BY THE CRWE Press Release, Crown Equity Holdings Inc. OR CRWE Press Release's AFFILIATES. CRWE Press Release HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES AS TO THE AVAILABILITY AND ACCURACY OF CONTENT AND ANY WARRANTIES AGAINST NON-INFRINGEMENT.
3) Grant of License
YOU hereby grants CRWE Press Release a non-exclusive, royalty-free, sub-licensable, transferable, and assignable license to store, display, reproduce, and distribute content submitted to the SERVICE. YOU also grant CRWE Press Release the right to use their name and logo for CRWE Press Release's marketing efforts. YOU may requests in that CRWE Press Release does not use their name and logo in CRWE Press Release's marketing efforts.
4) Right to Refuse
CRWE Press Release reserves the right to refuse distribution of any content submitted by YOU for any reason.
5) CONTENT POLICY
YOU agree to adhere to all editorial guidelines posted by CRWE Press Release on the WEBSITE as a condition for using the SERVICE. Editorial Guidelines may be updated at any time without notice.
6) Account Access
YOU agree to provide full and accurate information, including YOUR full name, a valid email address and other information requested during the sign-up process and the subscription creation process. YOU agree to keep your email address updated in the SERVICE at all times. If YOUR email address is found to be invalid, CRWE Press Release will suspend YOUR account until such time as YOU provide a valid email address to CRWE Press Release. YOU understand that your account may only be used by one person – a single account shared by others is not permitted. YOU are responsible for maintaining the security of your account's login user name and password. CRWE Press Release cannot and will not be liable for any loss or damage from YOUR failure to comply with this security obligation.
7) Unauthorized Users
You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
8) Age Requirements
The SERVICE is intended for adults and we will not knowingly collect personal information from children under 13 years of age. To purchase PAID SERVICES or subscribe to PAID SUBSCRIPTIONS, YOU must be at least eighteen (18) years of age.
9) API (Application Programming Interfaces) Services
CRWE Press Release may, at its sole discretion, provide YOU or SUBSCRIBER with access to certain application programming interfaces ("API") that interact with CRWE Press Release's proprietary data. CRWE Press Release reserves the right to add additional terms that may govern individual API services. Access to API services may be suspended or terminated by CRWE Press Release at any time for any reason, with or without cause. If your access to an API service is terminated, you shall not be entitled to a refund of any kind. In order to access any API service, you must apply for a secret access token. You agree to not share your secret access token with anyone. You are responsible for any and all API requests made with your secret access token, whether you authorized them or not. Data provided by our API services shall remain the property of CRWE Press Release. If you publicly display data from an API service, you must comply with any link or attribution guidelines set forth on the API service web page or in the API service documentation which may be changed from time to time.
10) Pre-release Services
From time to time, CRWE Press Release may add new features to the SERVICE described as "alpha" or "beta" ("PRE-RELEASE FEATURES"). YOU acknowledge that PRE-RELEASE FEATURES may be untested, non-functional, and/or partly functional features of the SERVICE. If YOU elects to use PRE-RELEASE FEATURES they agree to do so at their own risk. Notwithstanding anything else in this AGREEMENT to the contrary, CRWE Press Release does not warrant that PRE-RELEASE FEATURES will be provided with due care. YOU may not rely on PRE-RELEASE FEATURES for any purpose whatsoever. PRE-RELEASE FEATURES may harm and/or interrupt the regular operations of your software and/or hardware. PRE-RELEASE FEATURES will be considered part of the SERVICE and all provisions of this AGREEMENT relating to the SERVICE will apply to PRE-RELEASE FEATURES.
11) Collection
YOU will pay all accounts past due, that have not been disputed specifically in writing and in reasonable good faith, an interest charge of one and one-half percent (1.5%) per month computed from the due date of each payment, or the maximum rate permitted by law. YOU will be liable for attorneys' fees and collection costs arising from CRWE Press Releases efforts to collect unpaid balances.
12) YOU Disputes
YOU agree to be solely responsible for any interactions with other. CRWE Press Release reserves the right, but has no obligation, to monitor disputes between YOU and others.
13) Copyright Abuse
CRWE Press Release will respond expeditiously to notices of claimed copyright infringement and, at CRWE Press Release's sole discretion, may terminate YOU's accounts who are "repeat infringers". Pursuant to the Digital Millennium Copyright Act, we respond to notices of copyright infringement if they conform with the requirements of 17 USC 512(c) by including the following information:
a) The signature of a person authorized to act on behalf of the owner of the infringed copyright; b) Identification of the copyrighted work or works claimed to have been infringed; c) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed; d) Information reasonably sufficient to permit CRWE Press Release to contact the person authorized to act on behalf of the owner of the infringed copyright (example, the address, telephone number, or email address); e) A statement that the person authorized to act on behalf of the owner of the infringed copyright have a good faith belief that use of the material is not authorized by the copyright owner; and f) A statement signed under penalty of perjury, that information in the complaint is accurate and that the complaining party is authorized to act on behalf of the copyright owner.

14) Indemnification
If in the event a claim, action or other legal proceeding is brought against CRWE Press Release due to CRWE Press Release's distribution of content submitted by YOU, or due to any breach of this AGREEMENT by YOU, including inaccuracy of any warranty or representation made by YOU, YOU shall indemnify, defend, and hold CRWE Press Release, Crown Equity Holdings Inc., CRWE Press Release's affiliates, and employees harmless in connection with any and all costs, expenses losses and liabilities as a result proceedings including but not limited to attorneys' fees, costs and expenses.
18) Limitation of Liabilities
Any liability of CRWE Press Release, CRWE Press Release's affiliates or employees, for the failure of any performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of records, whether for breach of contract, tortious behavior, negligence, or under any other cause or action, shall be strictly limited to a return of any amount paid by or on behalf of the YOU to CRWE Press Release. IN NO EVENT SHALL CRWE Press Release, CRWE Press Release's AFFILIATES OR EMPLOYEES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF REVENUE, LOST PROFITS, OR LOSS OF DATA).
15) Electronic Form
By becoming a YOU, you consent to have this AGREEMENT provided to you in electronic form. In order to access and retain this electronic AGREEMENT, you must have access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must have all the equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. Please print a copy of this document for your records. To retain an electronic copy of this AGREEMENT, you may save it to into any word processing program. You have a right to a paper copy of this AGREEMENT. If you would like a paper copy, please email support@crwepressrelease.com. If you request a paper copy of the AGREEMENT, your account will be suspended until you return a signed copy of the paper agreement to CRWE Press Release.
16) Beneficiaries
YOU agree that except as otherwise expressly provided in this AGREEMENT, Entities other than CRWE Press Release, that Crown Equity Holdings Inc. owns a 100% interest in are not parties, but intended third party beneficiaries of this AGREEMENT, with a right to enforce the AGREEMENT directly against YOU.
17) Assignment and Delegation
You may not assign or delegate any rights or obligations under the AGREEMENT. Any purported assignment and delegation shall be ineffective. CRWE Press Release may freely assign or delegate all rights and obligations under the AGREEMENT, fully or partially without notice to you. CRWE Press Release may also substitute, by way of unilateral novation, effective upon notice to you, Crown Equity Holdings Inc. for any third party that assumes our rights and obligations under this AGREEMENT.
18) Miscellaneous
The failure of CRWE Press Release to exercise or enforce any right or provision of this AGREEMENT shall not constitute a waiver of such right or provision.
19) Severability
If any provision of this AGREEMENT is found by a court of competent jurisdiction or arbitrator to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision; and if a court or arbitrator finds the modified provision invalid, illegal, void or unenforceable, the validity, legality and enforceability of the remaining provisions of this AGREEMENT will not be affected in any way.
20) Language
If CRWE Press Release provided YOU with a translation of the English language version of this AGREEMENT, CRWE Press Release Privacy Policy, or any other documentation, YOU agrees that the translation is provided for YOU'S convenience only and that the English language versions of this AGREEMENT, CRWE Press Release Privacy Policy, and any other documentation, including additional terms of service agreements, will govern YOU'S relationship with CRWE Press Release.
21) Entire Agreement
This AGREEMENT contains the entire agreement between YOU and CRWE Press Release regarding the use of the SERVICE, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by CRWE Press Release to YOU. Unless otherwise explicitly stated, the provisions of this AGREEMENT shall survive its terminations.
22) Jurisdiction, Venue, and Choice of Law
The parties agree that the exclusive location for purposes of Jurisdiction and Venue is a court of appropriate jurisdiction in the State of Nevada, County of Clark and City of Las Vegas. In any such action, the parties agree that the law of the State of Nevada, County of Clark, and City of Las Vegas shall apply and shall govern the determination of the action.

Terms of Service Agreement
CLIENT USE POLICIES
1. General
Policies. These Policies supplement the CRWE Press Release Terms of Service and are incorporated as an integral part therein. In the event of a conflict between the Terms of Service and these Policies, the Terms of Service shall govern.
Account Authentication and Usage. CRWE Press Release will not activate accounts utilizing a free email service as their primary email address for the account (e.g. Yahoo, Hotmail, Excite, Lycos, etc.). CRWE Press Release will independently verify the information submitted on the CRWE Press Release registration application, including company address, phone number(s) and email to ensure that Clients have provided valid account information. For security purposes, CRWE Press Release may require that the Client provide additional documentation to facilitate account authentication.
Users. Clients may set up their CRWE Press Release accounts with Primary Users and/or Secondary Users. Primary Users are able to add and delete other users on the same account, while Secondary Users may not. It is incumbent on Primary Users to exercise good judgment in deciding who to add as additional users on their account. It is also the responsibility of Primary Users to remove other users who should no longer have access to their account (e.g. former employees). All Users will be required to accept the Terms of Use upon initial registration and login.
Edit Rights. CRWE Press Release reserves the right to edit Client Materials, if or as necessary, in order to make corrections to the Client Materials (e.g. misspellings) or to ensure that the Client Materials adhere to CRWEpressrelease.com Policies, provided, however, that CRWE Press Release will not make any substantive edits without first obtaining Client's consent. Press releases must be provided to CRWE Press Release entirely in English with no grammatical or spelling errors. CRWEpressrelease.com editorial staff reviews all press releases before distribution; however, Client remains responsible for the Client Materials submitted to CRWE Press Release for distribution, including any errors.
Unsuitable Client Materials. CRWE Press Release may reject any Client Materials, or require changes to them, if CRWE Press Release determines, in its sole discretion, that the Client Materials are unsuitable. Unsuitable Client Materials ("Unsuitable Client Materials") may include, but are not limited to, material which contains sexually explicit materials, promotes violence or illegal activities or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or violates the intellectual property rights of any person or entity. In addition, CRWE Press Release will reject any Client Materials that promote stock picks, streaming video sites, online pharmaceuticals, or online gambling.
Changes/Repush Requests. If a Client asks CRWE Press Release to make a material change to a release that has already been distributed, CRWE Press Release will require the change to be issued as a correction or repush, as appropriate, to all distribution channels which were sent the original release. CRWE Press Release reserves the right, in its sole discretion, to determine whether the requested change is material or immaterial.
2. PRESS RELEASE DISTRIBUTION SPECIFIC POLICIES
Contact Information. All press release Client Materials must contain a contact person or company name and phone number or email indicating the appropriate source of the Client Materials. The source must be someone who is authorized to send releases on behalf of the company in question. The source lends legitimacy to the Client Materials by clearly denoting who is responsible for the Client Materials.
The release is being distributed through an agency or other company on behalf of a Client, the news source will be the Client name, and the agent should identify how it is connected to the news source, or Client.
Newsworthy. The press release must be newsworthy, and the news announcement must be clearly stated in the headline.
Ticker Symbols. All ticker symbols included in any Client Materials for distribution must be for companies that have a direct role or participation in the news being announced (i.e. no "ticker spam"). Even if a ticker symbol is for a company that has a direct role or participation in the news, CRWE Press Release may require removal of a ticker symbol if it cannot be verified that the Client has permission from the company whose ticker symbol is being used. Client may not include ticker symbols from Client's competitors or from any other third parties unless Client provides written permission to CRWE Press Release in advance of submission of the release. In no case may more than four (4) ticker symbols be used in a given release.
Lawsuits. Releases relating to lawsuits must be newsworthy. To qualify as "newsworthy", the lawsuit must actually have been filed. A Client may have to provide documentation of the filing or direct CRWE Press Release to such documentation. CRWE Press Release will not distribute repetitive instances of essentially the same release. At its sole discretion, CRWE Press Release will only distribute more than one release on the same lawsuit if there has been a meaningful development that is deemed newsworthy. In addition, Client may only mention one lawsuit per release. It is strongly recommended that the Client use the name of the company (ie) involved in the litigation in the headline.
Distribution Time. CRWE Press Release will make every effort to ensure that releases are distributed according to the release times requested by Clients. Under certain circumstances, specifically for releases submitted in foreign languages and for releases that contain numerous tables, Clients should be aware that formatting can take longer than normal. If these releases are sent in without adequate lead time, then there may be delays while the release is being processed.
For purposes of determining the word count of a release for pricing, the document word count will be calculated after the document has been formatted, including, if necessary, translation, and all tables and other add-ons have been inserted.
Release Verification. Clients will be required to confirm a randomized security code before any release will be queued for distribution. For our protection as well as that of our Clients, no release will be distributed without first meeting our security standards.
Bulk Releases. CRWE Press Release reserves the right to refuse to perform bulk volume press release distribution during a particular time period on the same day. In addition, CRWE Press Release will not distribute releases which contain the same headline and/or are from the same source company within the same day or within a reasonable period of days after the initial distribution of the release, if it appears, in CRWEpressrelease.com discretion, that the subsequent press releases appear to be part of a bulk or volume distribution. CRWE Press Release reserves the right to impose a maximum number of releases distributed by a Client in a given week or month if the releases in questions appear to be part of a bulk of volume distribution.
Corrections. CRWE Press Release will charge Client a processing fee for each release that needs to be re-distributed as a result of material or non-material changes to the content of the release. Additional charges may apply if the re-distributed release requires translation and/or international retransmission of the corrected release.
REPRESENTATIONS, WARRANTIES AND COVENANTS
Client is solely responsible for the accuracy and authenticity of the Content submitted by Client to CRWE Press Release. CRWE Press Release reserves the right to reject copy when necessary in its judgment.
Client represents and warrants to CRWE Press Release that it has the right and is authorized to submit the Content to CRWE Press Release for distribution, broadcasting and/or filing; that the Content is true and accurate; that the Client is not impersonating any person or entity or misrepresenting Client's affiliation with any person or entity; that the Content complies with all applicable laws and regulations; that the Content will not violate or infringe upon any copyright, trademark, or service mark rights, any other property rights, privacy rights, non-solicitation rights, intellectual property rights, confidentiality rights or other proprietary or contractual rights of any person or entity; that the Content does not contain any information which is libelous, defames or slanders any person or entity, which violates the intellectual property or confidentiality rights of any person or entity; and that Client has investigated the desirability of utilizing CRWE Press Release's services and is not relying on any representation, guarantee, or statement other than as set forth in these Terms of Service or in the materials on CRWE Press Release's web site, "CRWE Press Release.com".
INDEMNIFICATION AND LIMITATION OF LIABILITY
In the event any third party brings any action, arbitration, or other legal proceeding (collectively, "legal proceeding") against CRWE Press Release, its officers, directors, shareholders, agents, employees or other representatives of CRWE Press Release, or against any Partner (collectively hereinafter referred to as "the Indemnified Parties"), Client shall indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, actions, suits, proceedings, liabilities, obligations, losses and damages, amounts paid in settlement, interest, costs and expenses (including reasonable attorneys' fees, court costs and other out-of-pocket expenses incurred in investigating, preparing or defending the foregoing) (collectively, "Losses") incurred or suffered by any Indemnified Party to the extent that the Losses arise by reason of, or relate to, this Agreement or any breach of any representation, warranty or covenant of Client contained in this Agreement, or the Services provided to Client.
Neither CRWE Press Release, Crown Equity Holdings Inc.its affiliates nor Partners shall be liable in any way for indirect, incidental, consequential, special or exemplary damages, punitive damages or penalties (even if CRWE Press Release has been advised of the possibility of such damages or penalties), arising out of this Agreement, including but not limited to, loss of revenue, change in share price, loss of anticipated profits or lost business. This limitation of liability applies to any damages or penalties, including without limitation those caused by any failure of performance, error, omission, interruption, delay in operation or transmission, whether for breach of contract, tortious conduct, acts or omissions, negligence, or under any other claim or cause of action.
ANY LIABILITY OF CRWE PRESS RELEASE, ITS AFFILIATES AND PARTNERS IN CONNECTION WITH, OR FOR PRODUCTS AND SERVICES PROVIDED PURSUANT TO THIS AGREEMENT, SHALL BE STRICTLY LIMITED TO THE APPLICABLE AMOUNT (IF ANY) ACTUALLY PAID BY OR ON BEHALF OF CLIENT TO CRWE PRESS RELEASE.
Privacy Policy
Your privacy is of the utmost importance to us. This privacy statement discloses what information we gather, how we use it, and how to correct or change it. By submitting personal information to us through your registration or otherwise by using our services, you agree that we may collect, use and disclose such personal information as described in and in accordance with this Privacy Policy and as permitted or required by law.
Your Consent and Changes
By using our site and/or by using our services, you consent to our Privacy Policy and our collection, use, and disclosure of your information in accordance with it. If we make any substantive changes to our policies, we will notify you by posting notice of changes to this website. Your use of the site after the changes constitutes your agreement with regard to information collected from you in the past and in the future.
Information Gathered
We may collect additional information from you when you fill out a form. CRWE Press Release requires registration for certain services, such as the distribution of your press releases, and purchase of licenses to our Software-as-a-Service products. Our website may also contain order forms for other products and services or online surveys. In order to provide our services to you, we may ask you for contact information (such as name and email address), financial information (account or credit card numbers), mailing address, phone number, title, company name, and/or demographic information (including zip/postal code and age).
Use of Information
We may use your contact information to send you information about our company or our advertisers; however, you may opt out of receiving such mailings (see the Client Prospects and Subscribers sections below). We use financial information to bill you for products and services. Demographic, usage and profile data are also collected at our site, and may be used in the course of reporting. Additionally, certain information provided at user-registration (such as the name of a media outlet or user title) may be made available to clients within activity reports, although no personally identifiable information (such as names, phone numbers, or email addresses) will be repo
How do we protect your information?
We implement a variety of security measures to maintain the safety of your personal information when you place an order or access your personal information. However, it is possible that any information transmitted via the Internet may be intercepted by unknown third parties. We therefore encourage you to carefully ensure security through virus screening software, browser settings, the setting of passwords that are known only to you and are difficult to guess, and other security measures available to individuals and/or companies.
Do we disclose any information to outside parties?
We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information collected from visiting our website www.CRWEPressRelease.com.
CRWE Press Release may also disclose your personal information, the contents of your communications and/or your contact and financial information if required to do so by law, with your consent or in the good faith belief that such action is necessary:
